These Terms of Service ("Terms") govern your access to and use of products and services provided by Gravity Farms, Inc. ("Gravity Farms," "we," "us," or "our"), including but not limited to:

• •Tissue culture services ("TC Services")
• •Wholesale plant sales ("Wholesale Products")
• •Software platforms, including ProtoLab (the "Software" or "Software Products")

By accessing or using any of our products or services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Use of Software Products

If you use ProtoLab or any other software developed by Gravity Farms, your use is governed by our separate Terms of Service & Acceptable Use Policy, which can be found here:

By using ProtoLab or other Gravity Farms software, you agree to be bound by those specific terms in addition to these general Terms.

2. Tissue Culture Services – Disclaimers & Conditions

We offer custom tissue culture services on a contract basis, including propagation of plants for individuals or businesses.

2.1 No Guarantee of Viability or Performance

Tissue culture is a highly technical and biologically variable process. While we strive for a high standard of success:

• •We do not guarantee successful propagation or survival of any plant or culture.
• •Outcomes may vary due to plant genetics, environmental conditions, contamination risk, or other biological factors.
• •Clients acknowledge that propagation timelines may range from 3–12 months depending on species and maturity needs.

2.2 Customer-Supplied Plant Material

If you supply us with plant material for propagation:

• •You represent that you legally own or have rights to use and propagate that plant.
• •We are not responsible for any intellectual property claims or agricultural violations arising from customer-submitted material.

2.3 Ownership and Use of Protocols

Unless otherwise agreed to in writing:

• •Gravity Farms retains rights to any protocols, methods, or systems developed as part of the service.
• •You may purchase exclusive propagation rights for a negotiated fee.

3. Wholesale Plant Sales – Disclaimers & Terms

Gravity Farms sells wholesale quantities of plants to retailers, distributors, and brokers.

3.1 Condition & Care Upon Arrival

• •All plants are inspected before shipment and shipped in good faith.
• •Once plants leave our facility, we are not responsible for damage, loss, or viability issues due to shipping, handling, or conditions at the delivery location.
• •We recommend immediate unpacking and acclimation upon receipt.

3.2 No Warranty

• •All wholesale sales are final unless otherwise agreed upon in advance.
• •No warranty is provided for continued health or growth of plants after delivery.
• •Gravity Farms is not liable for any business loss, resale complications, or downstream damages resulting from plant performance.

3.3 Order Changes & Cancellations

• •Orders must be finalized before shipment.
• •Cancellations must be submitted in writing and may be subject to fees if materials or labor have been committed.

4. Limitation of Liability

To the fullest extent permitted by law, Gravity Farms is not liable for:

• •Indirect, incidental, special, or consequential damages
• •Loss of profits, inventory, data, or business opportunity
• •Agricultural losses, failed crops, or harm caused by plant material

Our total liability for any claim shall not exceed the amount paid by you to Gravity Farms in the past 12 months for the product or service in question.

5. Privacy

Our handling of your data is governed by our Privacy Policy. We implement industry-standard security and access controls, but you acknowledge no system is perfectly secure.

6. Changes to Terms

We may update these Terms at any time. Changes will be posted on our website with the updated effective date. Material updates may be communicated via email or account notice. Continued use of our products or services after such updates constitutes your acceptance of the new Terms.

7. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
